About The Role

We are seeking a highly experienced Senior Legal Counsel to lead our legal function, including managing outside legal advisors and counsel. The successful candidate will be responsible for corporate affairs, commercial transactions and contracts, employment law, intellectual property, M&A, financing, regulatory and compliance matters, privacy and other topics.

Key Responsibilities Include:

  1. Global responsibility for Legal, Compliance and IP Functions, managing and developing a team of 25+ professionals across 10 jurisdictions.
  2. Provide advice and counseling to the Board of Directors, the Executive Committee and the business on legal, regulatory and governance matters.
  3. Safeguard Barry Callebaut's long-term business interests, reputation and IP assets.
  4. Streamline and harmonize legal, compliance and IP processes, strengthen and automate life cycle management and improve KPI reporting.
  5. Design, implement and maintain an effective compliance management system, mitigate compliance and regulatory risks and ensure compliance with applicable laws and regulations.
  6. Key contributor to strategic M&A transactions and other projects.
  7. Oversee legal defense actions and ensure Barry Callebaut's appropriate representation in all matters before courts, government agencies and other authorities to protect the organization's legal and business interests.
  8. Support development of BC's ESG strategy and ensure compliance with Swiss and EU regulatory requirements.
  9. Act as Corporate Secretary to the Board of Directors and the Board Committees.
  10. Coordinate and prepare the Annual General Meeting of Shareholders.
  11. Ensure compliance with SIX listing and disclosure requirements.
About You

We are looking for a candidate with:

  1. At least 10 years of legal experience.
  2. A Master's degree in Law.
  3. Bar Admission / Admission as an Attorney (preferably Swiss Qualified).
  4. Excellent knowledge of SIX regulations.
  5. Experience in a public company.
  6. Solid experience in M&A.
  7. An inclusive leadership style and experience in an international environment.
  8. Experience in negotiation and contract drafting.
  9. Experience of interpreting strategy and policy in order to set and deliver objectives within medium to long time frames.
  10. Excellent knowledge of English, verbal and written.
