The Division Lead Counsel for Distribution Solutions - Electrification (ELDS) will act as the general counsel for the division, and will be expected to dispense legal advice objectively, and to lead and guide his/her division management team in the right direction on all legal and integrity matters concerning the division, both as business partner and legal professional. This is a single contributor role (without line management responsibility), and will rely heavily on the network of lawyers in the countries to achieve the goals and objectives of the Division. Strong and demonstrated ability to collaborate across teams is critical to success. The Division Lead Counsel for ELDS will report to the Global General Counsel - Electrification. This position may involve travel.

**Your responsibilities**:

- Represent L&I in the ELDS Division Management Team and provide strategic legal direction, legal support and advice to the relevant Division business and leadership on business opportunities and ongoing matters. Lead and drive the integrity priorities for ELDS globally.
- Actively participate in Risk Reviews for the Division in close collaboration with Regional General Counsels and local Counsels, enabling accurate risk assessment and providing clear recommendations and approvals, as required, including in connection with public tenders as well as laws and regulations relating to other public administrative bodies, in particular with respect to antitrust law and product safety / product liability regulations and standards.
- Be accountable within L&I for any litigation and M&A activity for ELDS globally, provide legal advice and support as needed on a wide variety of Division-related legal and integrity matters.
- Be responsible for the creation and update of the required contract templates for the Division, in close coordination with the other ABB Division Lead Counsels and regional General Counsels, to ensure risk mitigation, consistency and sound legal and commercial judgement.
- Provide strategic direction and legal advice on strategic alliances, selection of business partners, joint ventures and other organic and inorganic growth and commercialization opportunities.
- In close coordination with the Regional General Counsels for Electrification, support the structuring, negotiating, reviewing and drafting international and domestic transactions, including complex sales and systems agreements, sourcing, share purchase agreements, shareholders’ agreements, joint venture agreements, technology transfer and other license agreements, services, consortium, teaming, sub-contracting arrangements or other commercial agreements.
- Participate in the formulation, interpretation and implementation of ABB policies to ensure consistency and compliance with contractual obligations, corporate standards and applicable laws, where required, act as key account lawyer for one or more designated key customer accounts.
- Drive improvement or development of the commercial, operational and other legal processes, due diligence and legal productivity, simplicity and standardization; keep abreast of legal developments, in particular commercial, regulatory and integrity risks that arise in respect of ELDS, work in close collaboration with the other EL L&I Management Team under the leadership of the Global General Counsel of Electrification

**Your background**:

- Law degree from accredited law school with a demonstrable superior academic record and law firm training and admission to a US state or EU member country bar, or global equivalent. Significant legal post-qualification experience or equivalent in an internationally recognized law firm or multinational company, that includes, inter alia:

- Substantial “hands-on” experience in drafting international commercial agreements (including distributor and JV and consortium agreement) and complex transaction agreements.
- Substantial “hands-on” experience products safety, product liability and crisis management, substantial experience and success in working and negotiating with international parties.
- Demonstrable regulatory or administrative law experience, preferably antitrust, as well as experience dealing with both common law and civil law issues.
- Experience in managing litigation, arbitration and mediation, experience in cross border M&A transactions, demonstrable fluency in English and preferably one additional language, including ability to draft and negotiate
