**THE ROLE**

As **M&A Manager**, you will play a key role in the design and the execution of our M&A strategy.
You will be reporting directly to the Global Head of M&A and working closely with the CFO, having the unique opportunity to design and contribute to our future growth story.
To be successful in this role, you should have outstanding analytical and advisory skills, commercial thinking, the ability to plan, manage and deliver corporate M&A projects to a large extent independently.

**OPPORTUNITES**
- You will be researching and monitoring market conditions and developments, maintaining the M&A database.
- You will be developing M&A strategies, including identifying attractive market segments and companies to be considered as acquisition targets.
- You will be presenting findings and pitching M&A opportunities at various meetings.
- You will be acting as project manager and coordinating internal deal teams as well as bankers, advisors, auditors, and attorneys, for various transactions.
- You will be leading due diligence processes and actively participating in the negotiations of legal documentation, preparation of internal committee presentations and funding.
- You will be ensuring, together with the working groups, that the regulatory aspects of a transaction have been sufficiently considered.
- You will be analysing and reviewing different transaction structures and carrying out financial modelling together with Temenos’ FP&A team.
- You will be conducting detailed valuation analyses, including DCF, trading comparable, transaction comparable and LBO analysis for M&A opportunities (investments and divestments)
- You will be preparing for “day-one” readiness and supporting post-merger integration.
- You will be analysing, assessing, and communicating to the ExCo due diligence findings, high-level business impacts and potential risks.
- You will be building and maintaining productive relationships with target companies and related networks. You will be directing outside advisors and consultants when required.

**SKILLS**
- You should have a University / Postgraduate Degree (Master) in Economics, Business Administration, Finance or Engineering complemented with additional knowledge in Finance (e.g., MBA).
- You should have 3 to 4 years of work experience with international M&A transactions in a corporate M&A team, an investment bank or a Big4.
- You should have experience with buy-side and sell-side M&A transactions.
- You should have experience with due diligence and transaction execution including the financing.
- You should have strong financial modelling skills and experience of building/maintaining operating models.
- You should have exposure to financing capacity assessments, impact analyses and bid analyses.
- You should have experience of financial valuations with knowledge of DCF, LBO, merger modelling, comparable companies, precedent transactions etc.
- You should have excellent English language skills (spoken and written). German, French and other languages are an advantage.
Transaction experience in the software sector is a plus.
