**The Private Equity Legal team is looking for a self-motivated and client-focused Transaction Counsel. This role includes the following activities**:
- Manage reviews and negotiations of primary fund-of-funds investment terms and conditions, coordination of external counsel and tax analysis;
- Advise on legal aspects of secondary transactions in private equity funds and co-investments, conduct legal due diligence on terms and conditions, participate in negotiations with transaction partners; coordinate tax due diligence;
- Support/instruction of various departments in connection with the execution of transaction documents and closing of transactions.
**Requirements**:
- Top academic credentials in law, LLM is a plus;
- In-depth knowledge of Anglo-Saxon law;
- 2 - 6 years post-qualification experience in an M&A / transaction-oriented legal environment;
- Direct private equity investment activity and tax exposure is an advantage;
- Proficient English skillswith a second language being a strong plus;
- Strong ability to work under pressure and with tight deadlines;
- Entrepreneurial mindset, efficient team player with an independent work style, focused on final results, while not leaving out details.
