The Legal and compliance manager - will be responsible for supporting Syz Capital team members in Legal and compliance services for a Swiss licensed investment manager of collective investment schemes and funds managed by it in Switzerland and Luxembourg. This position reports to the Head of legal and compliance and will act as its deputy. He or she will be contributing to and managing day to day projects in the corporate and regulatory life of the firm, including interactions with the FINMA and auditors. This position requires a well-rounded individual with an entrepreneurial mindset, experienced in legal and compliance matters in financial markets.

Mission
- Legal and compliance work for our Syz Capital entities, our corporate structure in Zug, our General Partner in Luxembourg as well as delegated Luxembourg management company
- Ensure Compliance and Legal guidelines are respected and reviewed regularly in accordance with FINMA
- Ensure coordinating with (external) corporate and tax lawyers on all corporate and fund matters, contract negotiation
- Drafting of internal Syz Capital policies in line with regulatory compliance
- Review, coordinate and assist with Fund Term sheets, LPAs and PPMs for both liquid and illiquid alternative products
- Assisting with the periodic review of Syz Capital Luxembourg Funds, UCITS Funds (2 prospectus changes a year with new launches, modifications and liquidations) as well as Private Market Funds
- Provide legal support to entire team and Executive Committee (EXCO) for Distribution related questions regulatory watch Luxembourg, Europe.
- Support Management with marketing reports, Assist to implement marketing and communication projects
- Support in other regulatory projects, e.g. MiFID II.
- Support Head of legal and compliance, COO and Operations Team with all tasks related to SYZ Capital Operations
- Review and assist all investment teams in deals, funds and investor documentation drafting and communication (includes review of NDAs, term sheets, SPAs, SHAs)

Profil
**Professional experience**:

- Bachelor in Law, Master preferred. Education in Finance a plus.
- Minimum 5 years of legal or compliance experience in capital markets (funds, ISDA, ). Experience dealing with regulatory & oversight bodies a plus

**Language requirements**:
