Head of Coporate Legal - Full Time - Baar, Switzerland

**Job purpose**

Reporting to the General Counsel and Company Secretary, the head of legal - Corporate and M&A is responsible for medmix group corporate matters, with a focus on Swiss listing requirement, governance, securities to ensure that that all our corporate company’s activities comply with applicable laws and regulations, at listed company level but also globally.

**In this role you will be accountable for**:
**Corporate**
- Directly assist the Group General Counsel in its Corporate Secretarial function, including by providing relevant regulatory information and corporate best practices
- Prepare, manage and implement required regulatory filings, corporate governance and related policies in all areas including Swiss stock exchange, implement trading restrictions, notifications.
- Manage the legal tasks in connection with the AGM and Board of Directors
- Corporate housekeeping globally, ensure that corporate records are updated as appropriate
- Directly support the preparation of the Annual Report, particularly the Compensation Report. Responsible for the preparation of the Corporate Governance Report
- Work closely with Investors relations, Finance, Tax, Compliance and senior leaders
- Manage corporate matters, from registration to liquidation of legal entities globally, including mergers and combination in collaboration with tax, local management, and outside counsels
- Supervise the maintenance of the authorized signatory lists for and the delegations of authority
- Set and manage the central depository of corporate related matters and, with vendor, support the stock administration on equity matters

**Financing**
- Support the negotiation, structuration and deployment of equity or financial instruments (including share repurchase and issuance of bonds and loans)

**Mergers and acquisitions**
- Provide hands on support globally to corporate transactions projects (acquisition, divestment, partnerships), working closely with the General Counsel and the M&A and strategy team

**Legal operations**
- Accompany the General Counsel in the shaping of an engaged and highly efficient legal department
- Support medmix global operations as requested by the General Counsel

**To succeed in this role, you will need**:

- Swiss qualified attorney, alternatively foreign business legal education at Master level with demonstrated experience in Swiss corporate law
- Financial or business education a plus
- 10+ law firm and/or in-house relevant experience in the field of corporate law
- Able to demonstrate substantial hands-on global experience in corporate governance matters, Swiss public company law, contract law and financial instruments
- Handling of SIX listing requirements in an autonomous manner
- Tangible experience dealing with investors and bankers a plus
- Proven direct experience in several M&A processes in multiple geographies, at the negotiation table

**Personality and ways of working**
- Gravitas and executive presence in working with Board, CEO and senior executives
- Strong corporate acumen, appealed by global manufacturing and sales organizations
- Get things done. Reliable, agile, driven and pragmatic with sharp attention to details and deadlines
- Good listener, articulate, straight to the point. Collaborative, sense of service, positive mindset. Empathy and strong business partner attitude are critical
- Enjoy mingling with diverse colleagues, able to operate globally successfully with executives as well as staff
- Sense of humor a strong plus
- German and English full business and legal fluency essential
