About the Role

My client is seeking an experienced
Private Equity Fund Counsel
to lead the setup and structuring of investment funds and managed accounts across multiple asset classes — including
private equity, private credit, infrastructure, real estate, and fund-of-funds
.

In this role, you will manage the
entire fund formation process
, from initial structuring through to investor negotiations, working closely with external legal and tax advisers to deliver compliant, efficient, and investor-focused solutions.

Key Responsibilities

  • Fund & Account Formation:
    Oversee the launch of both open-ended and closed-ended private market products.
  • Project Management:
    Coordinate complex, multi-jurisdictional projects with tight timelines and multiple stakeholders.
  • Fund Structuring:
    Design legal and operational frameworks aligned with investor requirements and regulatory obligations.
  • Documentation:
    Draft, review, and refine fund offering and legal documentation with precision and clarity.
  • Investor Negotiations:
    Collaborate with investors to finalize terms and conditions that achieve optimal alignment.
  • Adviser Coordination:
    Partner with external legal and tax advisers to ensure full regulatory and operational compliance.

What We're Looking For

  • A
    law degree
    from a leading university; an
    LL.M.
    or
    business administration qualification
    is an advantage.
  • At least
    5 years of experience
    in fund formation within a financial institution or law firm, ideally focused on private market products.
  • Strong
    legal drafting skills
    in English; familiarity with investment tax considerations is beneficial.
  • Proven ability to
    manage multiple projects
    under pressure while maintaining attention to detail.
  • Excellent
    communication skills
