Our Client is a leading investment specialist with a global client base and a broad range of investment programs.

They are seeking a
German-speaking
Private Markets Fund Counsel
to join their Private Market Operations Fund Formations Team, advising on fund structuring, legal, regulatory, and tax matters across a diverse range of private market products.

Your responsibilities:

  • Lead the structuring and setup of investment funds and managed accounts, including private equity, private credit, infrastructure, real estate, fund-of-funds, and separate managed accounts domiciled in Luxembourg, Ireland, Delaware, or Cayman Islands.
  • Oversee cross-functional project management, coordinating with legal, tax, and investment teams to ensure timely fund launches.
  • Draft and review fund offering documents and lead negotiations with potential investors in collaboration with external legal and tax advisers.
  • Provide expert guidance on legal, regulatory, and operational aspects of private market funds.
  • Ensure compliance with relevant investment, tax, and insurance regulations, with attention to investor-specific requirements.

Your profile:

  • Minimum 7 years of experience in fund formation
    , ideally in-house at a financial institution focused on private market products; prior law firm experience is a strong asset.
  • Law degree from a top university; additional qualifications such as LL.M. or a business degree are advantageous.
  • Strong legal drafting skills and solid understanding of fund operational implications.
  • In-depth knowledge of private market fund terms, legal, regulatory, and tax requirements.
  • Proven leadership experience, commercial mindset, and ability to manage complex projects with multiple stakeholders.
  • Excellent communication and negotiation skills, with the ability to perform under pressure.
  • Proficient in English and German

  • Collaborative team player with an independent working style and strong client service orientation.
