- What you will be doing
:

- The Group Counsel, Global Services (“GCGS”) serves as the lead lawyer for AmerisourceBergen Global Manufacturer Services GmbH (“AB Switzerland”, “Company”) in its Bern, Switzerland office.
- The key focus of the GCGS is support of AB Switzerland’s corporate governance, contract negotiations, global data strategy, and related activities. The GCGS acts as a general counsel for the Company and is responsible for managing delivery of all legal services, including oversight of human resource, immigration, intellectual property, real estate, vendor /technology support, litigation, data privacy/security, and compliance matters.
- The GCGS works extensively with the AB Tax team to ensure understanding of and compliance with business, legal requirements and plays an important role in business operations by protecting the Company’s interest from a legal perspective.
- PRIMARY DUTIES AND RESPONSIBILITIES:
- Acts as the Secretary to AB Switzerland and is responsible for preparing all Board of Managing Officers (“Board”) and Member meeting notices, presentations, resolutions and approvals (loan, dividend, year-end financials, and Board composition), and meeting minutes. Provides board or officer support to various of its European affiliates, including BPLH Ireland Unlimited Company, AmerisourceBergen Swiss Holdings GmbH, AmerisourceBergen Global Holdings GmbH, AmerisourceBergen Group GmbH, and Xcenda Switzerland GmbH (collectively with AB Switzerland, “AB GSMR Europe”).-
- Takes the lead role in the legal negotiation, preparation and review of key commercial and services agreements with pharmaceutical manufacturers in such areas as data and information services (for human and animal generic drugs, biosimilars, and specialty drugs), marketing support, and program formulary support, reviews, drafts, and negotiates these and other contracts for AB Switzerland to ensure that they accurately express the Company's objectives.-
- Takes the lead role in legal negotiation, preparation, and review of all vendor and technology services agreements for AB Switzerland. This includes licensing and services agreements and statements of work for software, hardware, and related information technology. Drafts and negotiate non-disclosure agreements, including those with third party logistics companies that receive EDI on behalf of pharmaceutical manufacturers as well as with technology consultants on expansion projects.-
- Supports Company’s compliance with data privacy and security policies and requirements, including compliance with AB privacy and security policies, AB Intra-Group Data Transfer Agreement, and applicable GDPR, Swiss DPA, and U.S. data privacy laws/requirements. Collaborate with AB’s Chief Privacy Officer and outside counsel on data privacy compliance.-
- Oversees Company’s IP portfolio and data license and ownership matters.-
- Works extensively with AB Tax Team to ensure understanding of and adherence to tax strategy.-
- Provides legal advice and support to the balance of AB GSMR Europe with respect to corporate administration and governance, preparation of Board resolutions and minutes, review and approval of audited financials, and completion of required governmental filings, involving outside counsel as necessary.-
- Assists in managing the delivery of all legal services to AB Switzerland, including oversight of human resource and immigration matters, intellectual property issues, litigation, and compliance, and helps coordinate the retention and oversight of outside counsel involved in these and other matters.-
- Apprises and keeps management informed about the impact of legislative, judicial, and regulatory developments affecting the policies and operations of AB Switzerland and AB GSMR Europe.-
- Responsible for foreseeing and protecting the Company against legal risks.What your background should look like
EXPERIENCE AND EDUCATIONAL REQUIREMENTS:
- Requires a minimum of 6-10 years progressively responsible and directly related experience in practicing law.-
- Law Degree - must be a graduate of an accredited law school and admitted into a state bar within the United States or have certification/licenses with a similar licensure body within Switzerland or an EU country.- MINIMUM SKILLS, KNOWLEDGE AND ABILITY REQUIREMENTS:
- Familiar with a variety of the field's concepts, practices, and legal procedures-
- Working knowledge of U.S. healthcare regulatory requirements and reimbursement issues, corporate law, corporate governance, litigation, anti-trust laws, intellectual property, and labor law-
- Relies on extensive experience and judgment to plan and accomplish goals-
- Ability to communicate fluently and effectively both orally and in writing in English (bilingual in German preferred)-
