Position Summary

As Paralegal Corporate & Compliance, you will be directly reporting to our Chief Corporate & Securities Counsel. You will be working closely with the TAX & Treasury department and will be familiar with regular Board Meetings.

Your Role:

Corporate Work

  1. Supporting Swiss TechCo, a portfolio of its subsidiaries plus the other EMEA Aptiv subsidiaries (the Subs) with respect to company secretarial compliance matters and providing assistance on daily corporate governance matters;
  2. Preparing or working with service providers in the preparation of a wide variety of documents such as minutes, resolutions, and documentation relating to share transfers, the approval of accounts, changes in directors, powers of attorney, and proxy forms;
  3. Working with cross-functional teams (Legal, Tax and Finance) in the organization of Board Meetings for Swiss TechCo and the Subs including the preparation of the relevant Board packs, agendas, notices, minutes, and associated documentation;
  4. Maintaining statutory books and records for Swiss TechCo and the Subs and monitoring compliance with all relevant statutory, regulatory requirements and filing deadlines;
  5. Keeping the Corporate Database and forms up to date with respect to TechCo and the Subs corporate entity information;
  6. Developing and maintaining relationships with internal legal teams from other regions and internal cross-functional teams such as Finance and Tax;
  7. Managing outside counsel and other third-party service providers for specific corporate matters and helping to keep track of costs;
  8. Arranging for document execution, notarizations, apostilling, and filing with the relevant registries. Keeping abreast of legislative, regulatory and corporate governance developments relating to company secretarial issues.

Your Background:

5+ years’ experience working in a company secretarial function either in a law firm or in a multinational company.

Proven experience in handling corporate governance matters and a good understanding of company secretarial processes.

Fluency in German and English.
