Legal Counsel & Corporate Governance Specialist, based in Zurich (50-100%) Banque Internationale à Luxembourg (Suisse) SA (BIL Suisse) is a fully owned subsidiary of Banque Internationale à Luxembourg SA (BIL), the oldest private bank in the Grand Duchy. This empowers BIL Suisse to provide clients with cutting‑edge solutions tailored to their evolving requirements. Responsibilities Respond to communications from Swiss authorities and requests for information from third parties. Organise, coordinate, edit, and review presentations and associated materials for the Board of Directors and shareholder meetings. Management of Commercial Register entries for relevant staff members across all branches. Assist with submissions to FINMA and conduct other tasks for the Corporate Secretary function. Manage policies and contracts for the bank. Handle inheritance cases. Address client complaints. Provide daily legal support for various projects, ensuring legal considerations are integrated into business responses and strategies. Respond to ad hoc requests from Front Office and other support functions, providing legal support as required. Assist with Lombard credit requests and draft associated loan documentation. Maintain legal templates and information documents on the bank's intranet to support the Front Office. Your Profile Bachelor's degree in Swiss law; further qualifications are a plus. At least 3 years of experience in a legal counsel or corporate governance role, preferably within the banking or financial services sector. Deep understanding of Swiss regulatory frameworks and corporate governance. Excellent written and verbal communication skills in English and German; French is a plus. Highly motivated, detail‑oriented, and able to work both autonomously and collaboratively within a team. Strong organisational skills with the ability to prioritize tasks and meet tight deadlines efficiently. Demonstrated ability to handle complex legal issues and provide practical solutions. Strong analytical and problem‑solving skills. Proficient in Microsoft Office Suite, particularly Word and PowerPoint. A proactive team player with a flexible approach, initiative, and enthusiasm for contributing to the bank's success.
