Job Overview:


We are currently seeking a dynamic, highly motivated, and experienced individual for the position of
Head of Legal & Compliance, Switzerland.

This position will be responsible for leading all aspects of the legal function at the Swiss company, including corporate governance, contracts, compliance, legal operations, and employment law.

This position will also be a key member of the global legal department together with legal leaders from SMPA and will be responsible for certain transactional agreements, EU alliance management, data privacy efforts and other projects
.



Job Duties and Responsibilities

  • Provide and/or procure ongoing legal advice on laws, regulations and guidelines related to research, development, and commercialization of pharmaceuticals.
  • Provide legal advice on all aspects of the Switzerland business to management and employees.
  • Identify and mitigate legal and compliance risks facing the Swiss company.
  • Draft, review and negotiate contracts and ensure all contracts, legal documents and templates are uptodate and compliant with statutory laws.
  • Draft, implement and advise on company policies and procedures and conduct relevant legal trainings for staff.
  • Responsible for Swiss company corporate housekeeping and governance matters.
  • Support in the defense against liability claims, litigations and arbitrations related to the Swiss company.
  • Responsible for legal employment related matters for the Swiss company together with Head of HR.
  • Partner with global compliance function to ensure that the Swiss company is in compliance with relevant regulations and laws.
  • Serve as a liaison with outside counsel and manage vendors.
  • Provide legal support to alliance management functions.
  • Partner on key transactions and lead aspects of EU licensing deals.

Key Core Competencies

  • Experience or a strong interest in business development or other strategic activities to leverage investment in intellectual property
  • Experience in Swiss corporate law and governance and contract law
  • Expertise negotiating and drafting complex agreements (incl. in the healthcare/life science industry)
  • Knowledge of international laws and regulations regarding privacy, including GDPR
  • Complex project management skills, including the ability to multitask across high
- volume projects, prioritize and manage timelines effectively in a responsive and professional manner

  • Strong business acumen organized and pragmatic with exceptional attention to detail, organizational skills, and judgment
  • High personal integrity used to work with confidential information
  • Ability to effectively handle multiple tasks in a fastpaced environment
  • Ability to effectively communicate, collaborate and deliver an excellent work product in a fastpaced, and rapidly growing dynamic company
  • Excellent verbal and written communication skills, as the position will interface potentially key opinion leaders and employees
  • Demonstrate coaching skill to develop team
  • Fluent in English and German spoken and written, French a plus
  • Ability to travel up to 20%

Education and Experience

  • Master of Laws, a Swiss/European bar exam and ideally a postgraduate qualification (e.g., LLM)
  • 15+ years law firm and/or corporate legal department, preferably advising pharmaceutical, biotechnology, or medical device companies
  • Experience managing attorneys and other professional
The role requires flexibility to have regular calls in the late afternoon and evening with US colleagues.
