Société de gestion, régulée FINMA, au service d'une clientèle privée UHNI basée dans le Canton de Vaud, recherche un :

Juriste Expérimenté/Senior Legal Counsel

Rattache (e) au CEO, ce poste est une création au sein dune société de gestion en forte croissance. Votre mission principale sera de Fournir une expertise juridique interne ad hoc, efficace et orientée vers le client dans le domaine de la gestion de portefeuille, du capital-investissement/de la gestion de fonds alternatifs, de la comptabilité, etc.

Le Juriste aura un rôle transversal et interviendra sur les missions principales suivantes :

  1. Conseil et soutien auprès des Equipes dInvestissements

  • Revue de la documentation légale liée à des investissements en private equity et en Hedge Fund (subscription agreements, side-letters).
  • Revue de la documentation légale liée à des investissements en produits structurés et produits dérivés
  • Intervention dans le cadre dinvestissements dans des sociétés privées non cotées
  • Point de contact et collaboration avec les avocats et fiscalistes externes
  • Revues de conformité juridique et veille juridique
  • Rédaction de mandats de gestion

2. Conseil et soutien juridique aux équipes Back & Middle Office et Comptabilité

  • Revue et négociation de contrats avec des contreparties bancaires et des sociétés de services financiers
  • Revue/adaptation des statuts et du règlement dorganisation de la société
  • Présentation de comptes-rendus dactivité juridique au conseil dadministration de la société
  • Gestion des délais, préparation des convocations, de lordre du jour et des séances du conseil dadministration et des assemblées générales

Profil recherché :

  • De formation juridique, le (la) candidate justifiera de plusieurs années d'expérience professionnelle (minimum 10 ans) dans une fonction similaire, idéalement dans une banque, une société de gestion d'actifs, un family office ou un cabinet d'avocats.
  • Connaissances juridiques approfondies du droit suisse et du droit international. Capacité à traiter efficacement et simultanément diverses questions et tâches avec un grand nombre de parties prenantes
  • Personnalité motivée, faisant preuve de rigueur, d'intégrité et de discrétion. Autres qualités requises : esprit proactif et orienté vers la recherche de solutions, capacité à travailler de manière indépendante et en équipe
  • Maitrise parfaite du Français et de lAnglais.
