The Head of M&A Tax is the accountable Tax lead for all Novartis group transactions (such as BD&L; NTO in-vestments/divestments; M&A) including the treasury advice on tax efficient structuring of transactions. In close collaboration with business stakeholders the Head of M&A Tax is responsible to deliver the tax strategy on deal process optimization, including execution strategy and assurance of post-transaction implementation for all ju-risdictions impacted by a transaction. The Head of M&A Tax leads and develops within the worldwide Tax function a pool of dedicated and aligned resources in Group, Business Units and Countries to ensure a broad and agile base for M&A transaction support. **Responsibilities**: - As a senior member of the Global Tax Leadership proactively supports the Head of Group Tax & Insurance on the development, adaptation and roll out of Culture and Value & Behaviour agenda. - As a senior leader in Novartis global Tax Team, ensures smooth and efficient management and clarity of re-sponsibilities across functions in all transaction related matters. Constant alignment with stakeholders such as Legal, BD&L, FRA, Treasury, NTO and M&A and business units representatives plus GISO ensures end to end delivery of tax strategy over transactions. - The Leadership accountability includes all transaction areas for all Novartis business units, including acquisi-tions, divestments, licensing, share deals, asset deals, joint ventures, public listings. - Drives transaction tax strategy and coordinates risk assessment and deal optimization with the Global Head of Transfer Pricing. Ensures deal efficiency and tax risk management by ongoing alignment with Country Tax Heads; communicates and provides guidance to local Finance organizations. - Leads tax defense in case of tax authority challenges related to M&A transactions, in alignment with the Tax Leadership Team. - Leads the tax due diligence process, assesses tax risks and quantifies potential tax exposures; ensures that identified tax risks are properly addressed in the transaction documents. - Prepares and reviews tax relevant clauses for transactions and reviews all relevant transaction agreements and other legal documentation to ensure consistency with Tax strategy and overall transaction objective. - Leads external Tax advisers and/or seconded external Tax experts. - Assumes co-ownership over Group Tax Risk strategy and key tax planning policies. **Commitment to Diversity & Inclusion**: - Novartis is committed to building an outstanding, inclusive work environment and diverse teams representative of the patients and communities we serve._ **Minimum requirements** - Master degree in economics or law with additional expert qualification in transactional corporate tax aspects - English mandatory, German or other Swiss national language desirable - Successful career in big 4 firm as senior manager or above (7 years or more) and in-house M&A role (3 years or more), including tax structuring of transactions **Division** CORPORATE **Business Unit** Global Corp.
