Position Overview

The Lead Counsel, International Corporate plays a leading role in complex commercial contracting and licensing matters, as well as business development activities outside the United States. The incumbent oversees the company’s ex-U.S. commercial contracting, including by managing other lawyers and liaising with the Company’s broader legal and contract operations teams. The incumbent also performs corporate secretariat functions for the company’s subsidiaries outside the U.S. and supports M&A transactions and integration. The role initially reports to the Vice President, General Counsel - International and, to the extent needed, assists on litigation and employment matters. Acting as the deputy of the General Counsel - International, the Lead Counsel, International Corporate is an important point of contact for the senior management of Exact Sciences’ international business, as well as its U.S.based headquarters.

The place of work is the company’s international headquarters in Baar, Switzerland (Canton of Zug).

Essential Duties

Include, but are not limited to, the following:

- Managing legal review of commercial contracting, including by helping to develop and oversee contracting processes, systems and policies.
- Provide clear, practical advice to business leaders and legal department members on a variety of legal matters.
- Oversight of Compliance-sensitive contracting processes, such as grant or sponsorship contracts and contracts with healthcare professionals.
- Drafting and negotiating commercial, licensing and employment contracts.
- Supporting the company’s regional counsel on corporate and commercial legal matters.
- Managing all matters related to administration of Exact Sciences subsidiaries outside the U.S., including annual report filings, annual shareholder meetings, and director changes.
- Support for any M&A, business development and integrations activity by Exact Sciences outside the U.S.
- Shared support for Human Resources on employment law-related issues.
- Demonstrate business acumen, intellectual curiosity, creativity and thought leadership on relevant legal, regulatory and industry issues.

Minimum Qualifications
- Advanced law degree (Masters level or above or equivalent).
- 8+ years of experience as associate or counsel at a law firm, in a corporate law department or governmental setting.
- Native or near-native level fluency in written and spoken English, including legal drafting.
- Native or near-native fluency in another major company language (German preferred).
- Experience with common commercial contracts (vendor, public and private sales, distribution) and contract-management systems.
- Experience with corporate entity administration and other corporate-law matters.
- Experience with M&A transactions and related due diligence and integration.
- Excellent communication skills (written and oral).
- Ability to effectively collaborate with, lead, and influence all levels of the organization, including senior leadership.
- Ability to navigate complex legal and regulatory environments.
- Ability to juggle competing priorities in a reporting matrix.
- Capacity to thrive in a cross-functional, multicultural and collaborative team environment.
- General eagerness to learn and ability to navigate new areas of legal landscape.

Preferred Qualifications
- Significant experience in the life-sciences industry, especially medical or in vitro diagnostic devices.
- Experience with common employment-law issues in one or more European jurisdictions.
- Prior professional exposure to substantive law of multiple jurisdictions, both common-law and civil-law.
- Familiarity and experience with data-protection matters.
