This role will consist in assisting in many aspects of company’s corporate life including: Corporate law: - Legalization, apostille of documents for Switzerland, UK or abroad; - Updated legal department databases (minutes, company information, documents relating to international and corporate projects, etc.); - Legal research and writing notes; - Participation in the preparation of the statutory documentation of the subsidiaries of Wella (modifications of the bylaws, drafting of minutes and resolutions, reports); - Support in preparing internal/external restructuring operations (including capital transactions, liquidation / dissolution, transformation operations, share purchase agreement); - Legal monitoring of Swiss and foreign affiliates: scheduling, shareholders and/or boards’ meetings, draft of meeting material, completion of legal formalities and filings within trade registry (Companies House). Contract and business law: - Collaboration with other team members; - Draft of memorandum or research in commercial law, contractual law, labor law, digital law and data protection; - Review and red-light of contracts. - This role will report into the Legal Corporate Counsel. An internship agreement is required and should provide the possibility of work in home office. **QUALIFICATIONS** - With a higher education (Master II or LLM) in International Business Law (with a specialization in UK or French Corporate Law and/or M&A), you are looking for an internship of 6 full-time months that can start in January 2021. - You have demonstrated during previous internships, very good theoretical and practical knowledge on legal issues. - You justify successful trainee experiences in a firm or international company including corporate law. - You have excellent interpersonal skills, are curious and eager to learn and work as a team in a business environment. - You have a natural pro-activity to structure your work.
