Salary: $120,000 - $150,000 per yearJob Description:

The Senior Corporate Compliance Specialist will be directly reporting to our Chief Corporate & Securities Counsel. The successful candidate will work closely with the TAX & Treasury department and have regular interactions with Board Members.

Corporate Work:
  • Support Swiss TechCo, a portfolio of its subsidiaries, and other EMEA Aptiv subsidiaries (the Subs) with respect to company secretarial compliance matters.
  • Prepare or work with service providers in preparing minutes, resolutions, and documentation relating to share transfers, account approvals, director changes, powers of attorney, and proxy forms.
  • Work with cross-functional teams (Legal, Tax, and Finance) in organizing Board Meetings for Swiss TechCo and the Subs, including preparing Board packs, agendas, notices, minutes, and associated documentation.
  • Maintain statutory books and records for Swiss TechCo and the Subs and monitor compliance with all relevant statutory and regulatory requirements and filing deadlines.
  • Keep the Corporate Database and forms up to date with respect to TechCo and the Subs corporate entity information.
  • Develop and maintain relationships with internal legal teams from other regions and internal cross-functional teams such as Finance and Tax.
  • Manage outside counsel and other third-party service providers for specific corporate matters and help track costs.
  • Arrange document execution, notarizations, apostilling, and filing with relevant registries.
Corporate Development:
  • Support M&A and integration activities.
  • Support Financing and Treasury activities.
Required Skills and Qualifications:
  • 5+ years' experience working in a company secretarial function either in a law firm or in a multinational company.
  • Proven experience in handling corporate governance matters and a good understanding of company secretarial processes.
  • Fluency in German and English.
