With this in mind, Temenos is searching for an experienced and self-driven M&A Manager, located in Zurich or London - who is motivated to strengthen the existing M&A practice.
Reporting directly to the Head of M&A and working closely with the CFO, the M&A Manager will have the unique opportunity to design and contribute to our future growth story.
**THE ROLE**
As M&A Manager, you will play a key role in the design and execution of our M&A strategy.
The role requires outstanding analytical and advisory skills, commercial thinking, and the ability to plan, manage and deliver corporate M&A projects to a large extent independently. Excellent communication/influencing skills and the ability to build and maintain strong relationships within the senior leadership team are vital.
**OPPORTUNITIES**
- You will be researching and monitoring market conditions and developments, maintaining the M&A database
- You will be developing M&A strategies, including identifying attractive market segments and companies to be considered as acquisition targets
- You will present findings and pitch M&A opportunities at various meetings
- You will be acting as project manager and coordinating internal deal teams as well as bankers, advisors, consultants, auditors, and attorneys, for various transactions
- You will ensure together with the working groups, that the regulatory aspects of a transaction have been sufficiently considered
- You will be leading due diligence processes and actively participating in the negotiations of legal documentation, preparations of internal committee presentations, and funding
- You will be analyzing and reviewing different transaction structures and carrying out financial modeling together with Temenos’ FP&A team
- You will be conducting detailed valuation analyses, including DCF, trading comparable, transaction comparable, and LBO analysis for M&A opportunities (investments and divestments)
- You will be analyzing, assessing, and communicating to the Executive Committee due diligence findings, high-level business impacts, and potential risks
- You will be preparing for “day-one” readiness and supporting post-merger integration
- You will build and maintain productive relationships with target companies and related network
**SKILLS**
- You should hold a University / Postgraduate (Master’s Degree) in Economics, Business Administration, Finance or Engineering complemented with additional knowledge in Finance (e.g., MBA)
- You should have at least 4-5 years of work experience (Associate level) with international M&A transactions in a Corporate M&A team, an Investment Bank, or a Big4. Transaction experience in the Software sector is a plus
- You should have experience with buy-side and sell-side M&A, equity, and debt financing transactions
- You should have experience with due diligence and transaction execution processes
- You should have strong financial modeling skills and experience in building/maintaining operating models required
- You should have exposure to financing capacity valuations, impact analyses, bid analyses, and collateral data analyses
- You should have experience in financial valuations with knowledge of DCF, LBO, merger modeling, comparable companies, precedent transactions etc.
- You should have excellent English language skills (spoken and written), good command of German, French, and other languages are an advantage
- You should have excellent communication, strong attention to detail, and presentation skills
