Im Rahmen der europäischen Strategie des externen Wachstums sucht CSD Ingenieure einen Mergers & Acquisitions Manager:in 80-100% in Zürich, Genf, Lausanne oder Lugano.
Ihr Aufgabengebiet- Identifizierung und Analyse von Zielunternehmen in Europa;
- Strukturierung und Durchführung von externen Wachstumsaktivitäten in Abstimmung mit dem Vorstand und dem Mehrheitsaktionär:
- Bewertung und Finanzmodellierung;
- Projektionen und Identifizierung von Wertschöpfungspotenzialen (z.B. Synergien) in Zusammenarbeit mit internen operativen Führungskräften;
- Leitung/Koordination von Due-Diligence-Arbeiten;
- Mitwirkung bei der Entwicklung und Verhandlung von Rechtsdokumenten;
- Finanzstrukturierung in Zusammenarbeit mit dem CFO und dem Finanzaktionär; - Koordination der verschiedenen Beratern und Stakeholdern des Deals (Anwälte, Wirtschaftsprüfer, Banker, etc.).
- Im Vorfeld der Gremien Dokumente erstellen zur Unterstützung der Entscheidungsfindung;
- Teilnahme an Verhandlungen mit Verkäufern und anderen Gegenparteien;
- Mitwirkung bei der erfolgreichen Integration von Akquisitionen (Fokus auf Management und Finanzen);
- Verbesserung und Optimierung von M&A-bezogenen Prozessen und Tools
- Mindestens 5 Jahre Erfahrung im Bereich Fusionen und Übernahmen: Investment Banking, Private Equity Fonds, Transaktionsdienstleistungen, Corporate M&A;
- Ausgeprägte technische Fähigkeiten, insbesondere bei small/mid cap Deals: Finanzmodellierung- und analyse, rechtliche Dokumentation und Fundraising;
- Fähigkeit zur Kreditvergabe;
- Sehr gute Englisch-, Französisch- und/oder Deutschkenntnisse in Wort und Schrift;
- Master-Abschluss einer Wirtschafts- oder Ingenieurschule (oder gleichwertiger Universitätslehrgang).
