Fund Corporate Manager

**Your area of responsibility**:
This position will focus on corporate governance and secretarial tasks. Your will be responsible from A to Z for the corporate governance of the AIFM, AIFs and SPVs managed by Energy Infrastructure Partners Luxembourg, including the following tasks:

- Preparing the board and shareholder meetings including the setup, digital board package, preparation and/or review of the minutes in coordination with Product Operation/external providers
- Reviewing legal minutes of transactions, other relevant documents, and agreements in collaboration with Product Operation and Investments team
- Setting up the relevant structures by coordinating the incorporation/liquidation/merger of companies to reflect the final structure chart
- Being the main point of contact for notaries, banks, external corporate teams and Product Operation
- Setting-up and maintaining the shareholder registers as well as managing the domiciliation agreements
- Assisting the external provider with the preparation and filing of the FATCA/CRS forms on an annual basis
- Preparing and organization the quarterly board of the AIFM including the preparation of the minutes
- Managing a team of 1-2 including the management of the relationship with the external corporate secretarial team
- Keeping corporate documents and records up to date and ensuring proper filing with RBO, RCS and legal database (e.g. signatory lists, trade registry and other official registers pertaining to the company)
- Leading ad-hoc internal projects within EIP organization

**Your skills and experience**:

- Minimum of 5 years of relevant professional experience in a similar position: corporate services or legal
- Strong knowledge and understanding of corporate law as well as the legal and administrative Luxembourg fund industry regulations
- Well organized and rigorous with high attention to detail and accuracy; experience in project management
- Proficiency in English is a must, knowledge of German, French or other languages is an advantage
