**Role**
Secretary to Group Audit, Risk and Credit Board Committees, primary advisory bodies to the Group Board. As a key link between the Board Committees and Senior Management, you will ensure that Board Committees’ governance remains on track, compliant, and aligned with the organization’s goals.
**Main roles and responsibilities**:
- Support for Board Committees, undertaking robust and comprehensive secretariat services to ensure the effective and efficient running of their activity consistent with the relevant corporate governance arrangements and the oversight responsibilities assigned to them by the Group Board.
- Liaison between the Board Committees and Senior Management, building effective communication between the various stakeholders.
- Advising on Committees governance and best practices. In that role, the Board Committee Secretary will also support the Head of Group Corporate Office in overseeing and continuously enhancing the Group governance framework more generally.
**Detailed responsibilities**:
- Work closely with the respective Board Committee Chair and Senior Management to prioritize important agenda items, ensuring decisions align with governance requirements.
- Organize and oversee the smooth flow of meetings, ensuring that all logistics, documents, and requirements are handled.
- Attend relevant meetings and prepare accurate and concise minutes to record key issues, decisions taken, and actions agreed, ensuring draft minutes are available promptly for review.
- Maintain an up-to-date decision log for audit trail purposes.
- Communicate clear and concise action plans and follow up that actions are being implemented by those responsible.
- Be the primary contact for the Board Committee members, communicating meeting notices, sharing documents and other information relevant to the organisation and governance of the Board Committees.
- Support the respective Chairs in adhering to the prevailing governance framework.
- Working with the Board Secretary, help ensure that common standards are applied across all Board Committees supporting the governance arrangements.
- Develop and maintain a standing agenda with an overview of the matters identified for consideration by the Board Committee and a planning of topical matters for the year to Ensure that the decision-making process is coordinated and predictable and that information on Board Committee business is made available to the various stakeholders.
- Ensure that this standing agenda is in line with the scope and role of the Board Committee defined in the Terms of Reference approved by the Group Board.
- Monitor compliance with legal and regulatory requirements as well as internal organizational policies to align the Board Committees’ activities.
- Ensure Board Committees’ terms of reference remain up to date.
- Assist with the follow-up of internal policies falling under the responsibility of the Board Committees.
- Help support the continuous enhancement of Group governance standards including monitoring and assimilation of best practices.
**Skills and Experience**:
- Seasoned professional with prior experience (minimum 3 to 5 years) in a similar position.
- Deep understanding of audit, risk, and client credit related issues in a banking environment.
- Former experience as a Risk Manager or Internal/external auditor or recognised qualification in these fields, a plus.
- Extensive knowledge of corporate governance principles and banking regulations.
- Demonstrated proficiency in activities planning.
- Flexible and adaptable while being assertive and persuasive enough to ensure a robust governance around the Committees.
- Strong interpersonal relations and communications skills to build and maintain positive relationships with a wide range of stakeholders.
- Full proficiency in English.
- Strong minutes-taking and writing skills.
