About the Role

We are seeking a seasoned General Counsel to lead our legal function, overseeing outside counsel and managing corporate affairs, commercial transactions, employment law, intellectual property, M&A, financing, regulatory, and compliance matters. As a key member of our senior management team, you will provide strategic legal counsel on company strategies and their implementation, ensuring the protection of our customers', shareholders', and employees' interests.

Key Responsibilities
  1. Lead the Legal, Compliance, and IP Functions, managing a team of 25+ professionals across 10 jurisdictions.
  2. Provide expert advice and counseling to the Board of Directors, Executive Committee, and business on legal, regulatory, and governance matters.
  3. Safeguard Barry Callebaut's long-term business interests, reputation, and IP assets.
  4. Streamline and harmonize legal, compliance, and IP processes, strengthen and automate life cycle management, and improve KPI reporting.
  5. Design, implement, and maintain an effective compliance management system, mitigate compliance and regulatory risks, and ensure compliance with applicable laws and regulations.
  6. Contribute to strategic M&A transactions and other projects.
  7. Oversee legal defense actions and ensure Barry Callebaut's representation in all matters before courts, government agencies, and other authorities.
  8. Support the development of BC's ESG strategy and ensure compliance with Swiss and EU regulatory requirements.
  9. Act as Corporate Secretary to the Board of Directors and Board Committees.
  10. Coordinate and prepare the Annual General Meeting of Shareholders.
  11. Ensure compliance with SIX listing and disclosure requirements.
About You
  1. Minimum 10 years of legal experience.
  2. Master's degree in Law.
  3. Bar Admission / Admission as an Attorney (preferably Swiss Qualified).
  4. Excellent knowledge of SIX regulations.
  5. Experience in a public company.
  6. Solid experience in M&A.
  7. Inclusive leadership style and experience in an international environment.
  8. Experience in negotiation and contract drafting.
  9. Experience of interpreting strategy and policy in order to set and deliver objectives within medium to long time frames.
  10. Excellent knowledge of English, verbal and written.
