Job Summary

We are seeking a highly skilled Corporate Paralegal to join our team in Switzerland. As a key member of our Corporate and Compliance department, you will be responsible for providing support to our Chief Corporate and Securities Counsel and working closely with our TAX and Treasury department.

Key Responsibilities

  • Support Swiss TechCo and its subsidiaries with company secretarial compliance matters and daily corporate governance tasks.
  • Prepare and review a wide range of documents, including minutes, resolutions, and documentation related to share transfers, account approvals, and director changes.
  • Work with cross-functional teams to organize Board Meetings, preparing relevant Board packs, agendas, notices, minutes, and associated documentation.
  • Maintain statutory books and records for Swiss TechCo and its subsidiaries, ensuring compliance with statutory and regulatory requirements.
  • Develop and maintain relationships with internal legal teams and cross-functional teams, including Finance and Tax.
  • Manage outside counsel and third-party service providers for corporate matters and track costs.
  • Arrange for document execution, notarization, apostilling, and filing with relevant registries.

Requirements

  • 5+ years of experience in a company secretarial function, either in a law firm or multinational company.
  • Proven experience in handling corporate governance matters and good understanding of company secretarial processes.
  • Fluency in German and English.
