Corporate Governance Legal Counsel

About the job: - Advise on corporate governance matters, including board and committee governance, policies, and frameworks - Support board and senior management with governance-related advice and documentation - Manage entity governance across EU jurisdictions, including statutory filings and corporate records - Draft, review, and negotiate governance-related legal documentation - Provide legal support on regulatory and compliance-driven governance matters relevant to financial services - Liaise with external counsel, regulators, and internal stakeholders - Monitor and advise on developments in corporate governance and regulatory requirements impacting the business About the candidate: - EU-qualified lawyer - 5-7 years' post-qualification experience (PQE) - Strictly law firm-trained background (applications without law firm experience will not be considered) - Proven experience advising Financial Services clients (banking, asset management, investment funds, private credit, insurance, or similar regulated environments) - Strong expertise in corporate governance and company law - Excellent drafting and stakeholder management skills - Fluent English. German is a plus. - Comfortable operating in a regulated financial services environment - Confident advising senior stakeholders - Able to work independently while collaborating across functions
