The Principal Legal Counsel provides oversight with respect to, and leads on, the design, development and management of the legal frameworks that enable the effectiveness of the Global Fund through the coordination, provision and oversight of expert legal advice on (i) the core business and corporate operations; (ii) cross-cutting programmatic, governance, strategy and policy matters; and (iii) day-to-day and long-term institutional activities. The Principal Legal Counsel will be a leader in the department and provide essential support to the Deputy General Counsel, actively mentoring and coaching other members of the department, and will demonstrate strategic thinking in the anticipation, mitigation, and resolution of issues across their responsibilities, and more generally to the LGD’s overall mandate.

The Principal Legal Counsel manages assigned LGD team members to drive performance, increase impact and ensure the effective provision of legal advice as well as the appropriate supervision of such staff.

Under the guidance of the Deputy General Counsel, the Principal Legal Counsel leads in providing legal guidance or advice, recommendations, and solutions to complex legal and policy matters, including through close collaboration with governance officials, MEC-level and other senior management, as well as with other key external stakeholders, including governmental authorities of implementer or donor countries and partners on strategic issues.

The Principal Legal Counsel supports the Deputy General Counsel in managing and delivering on departmental and organizational priorities, represents the LGD in key Governance
- and Secretariat-level committees or working groups, and acts as officer-in-charge in the absence of the Deputy General Counsel.

With respect to the overall response of the Global Fund to the COVID-19 pandemic, including the COVID-19 Response Mechanism (C19RM), the Principal Legal Counsel leads on the design, development and operationalization of Board
- Committee
- and Secretariat-level policies, decisions, end-to-end operational procedures, technical information notes, internal memoranda and guidance and on the provision of legal advice on the implementation of such instruments.

The Principal Legal Counsel oversees the LGD’s collaborative efforts to enhance interoperability across departments and overall department visibility through membership in senior management working groups; while offering expertise and counsel to ensure and enhance the uninterrupted support provided by the LGD.

The Principal Legal Counsel oversees the provision of legal expertise on a range of cross-cutting grant management and institutional matters and leads the LGD’s collaborative efforts on the design, operational coordination, implementation and oversight of specific key projects or launches and internal and external special requests assigned to the LGD.

The Principal Legal Counsel manages legal matters relating to (i) the coordination, implementation and management of Global Fund grants and operations, (ii) corporate governance matters, activities and processes, including interpretation and drafting of decisions, policies, rules and procedures; (iii) the design and management of strategic partnership agreements with Global Fund’s partners and external stakeholders; (iv) the Global Fund strategy and policy; and (v) the handling of legal claims and mitigation of legal risks in light of the status of the Global Fund as an international organization.

Each Principal Legal Counsel is assigned to have a primary focus in either the Institutional Matters Team or Grant Management Team. However, to encourage cross-team collaboration, Principal Legal Counsel may be assigned work from either the Institutional Matters or Grant Management Teams.

Key Responsibilities

Under the guidance of the Deputy General Counsel, Grant Management, the Principal Legal Counsel will oversee and lead the provision of legal advice to ensure the quality and integrity of (i) the core business of the Global Fund on the management of the Global Fund’s portfolio of investments and corporate operations; (ii) cross-cutting programmatic, governance and policy matters; and (iii) day-to-day and long-term institutional activities. The Principal Legal Counsel will be a leader in the department and will demonstrate strategic thinking in the anticipation, mitigation, and resolution of issues across their responsibilities, and more generally to the LGD’s overall mandate.
