The mission of the Legal and Compliance Department is to provide Catalent with world-class legal and compliance services that help the company grow and achieve its business goals and remain compliant with a variety of regulatory regimes. It does so by ensuring that the advice given and services provided are strategic, timely, proactive, practical, and cost-effective and meet the highest legal, ethical, and professional standards. Areas of expertise within the Legal and Compliance Department include general commercial law (including customer and vendor contracting); corporate, securities, and mergers & acquisitions; intellectual property; international; labor, employment, and benefits; litigation; legal and trade compliance; and regulatory.
**The Role**
The Assistant General Counsel will be an important member of the Legal and Compliance Department, providing direct support to one of our Senior Assistant General Counsel and to the Company’s Softgel & Oral Technologies and Oral & Specialty Delivery business units. This attorney will provide support as needed to other department personnel on a wide variety of matters, including assistance in negotiating and documenting many types of commercial and other relationships in the EU region. From time to time, this may include legal advice and support on business disputes, personnel matters, and real estate issues, as well as legal training for the region’s business development team. The attorney will liaise as needed with other support and business functions to resolve issues.
- Draft, review, analyze, structure, and negotiate terms and conditions, manufacturing, packaging, nutritional/pharmaceutical development, purchase, supply, license, and master service agreements
- Advise regional personnel with respect to compliance policies, customer and vendor relations, contract matters, regulatory issues
- Assist in merger and acquisition activity relating to the region
- Assist in corporate governance activity relating to the region
- Provide general advice to senior management of the region and other regional managers on a day-to-day basis
- Special assignments and projects
- Provide advice and guidance for the accomplishment of the overall business objectives of the region in compliance with applicable laws and regulations and avoidance of unacceptable risks
- Provide informed cost-benefit analysis when identifying risks
- Develop a thorough understanding of and familiarity with the BU’s business and its people, products, technology, markets, facilities, customers, and competitors in order to identify trends and formulate business and legal structures and strategies accordingly
- Ensure that all regional activities are conducted in compliance with all applicable legal requirements worldwide and internal policies and procedures
- Make presentations to Company personnel on legal issues as needed
- Supervise paralegals and junior attorneys, including training and mentoring as appropriate
- A record of outstanding academic achievement at the university and professional training levels
- Minimum of 5-8 years of transactional/commercial law experience with a combination of large law firms and/or in-house pharmaceutical experience
- Able to practice (to the extent required) as an in-house lawyer in Switzerland
- Solid judgment, particularly in determining the significance of legal matters and when to elevate them to more senior department personnel and in effectively measuring and minimizing risks
- Strong organizational skills in order to prioritize and manage multiple time-sensitive projects simultaneously
- Excellent written and oral communication skills, with ability to synthesize complex legal issues to essential elements for clients throughout the organization with different abilities and responsibilities
- Strong interpersonal skills, including diplomacy and flexibility, and the ability to interface effectively with personnel at many different levels throughout the Company and with our customers and other business partners
- Ability to independently manage numerous projects to favorable resolution or conclusion
- Ability to maintain high level of integrity of confidential and sensitive information and credibility within the organization
- Enthusiasm and “self-starter” qualities enabling the attorney to manage responsibilities with an appropriate sense of urgency; the ability to function effectively and efficient
