M&a and Transaction Advisory Manager

The M&A and Transaction Advisory Manager researches and evaluates potential acquisition targets, supporting the execution of the transactions, developing solid business cases and financial models, and coordinating due diligence and the activities of external advisers\/M&A team.
- Minimum of 7 years professional M&A experience in a similar in-house corporate role or in investment banks or M&A boutiques, one of the big 4 accounting firms in the Corporate Finance\/Valuation practice or in private equity;
- Excellent verbal and written skills. Business fluent in English (written and spoken). Any other language is an advantage;
- Knowledge of financial statements;
- Experienced working across the different phases of managing acquisitions and divestitures including origination, due diligence, valuation, negotiation;
- A self-starter with the ability to work in team and independently in a fast-paced environment;
- Sound problem solving ability, challenges status quo;
- Build effective and trustworthy relationships within and outside the company;
- Ability to manage multiple priorities simultaneously and to work with a wide spectrum of people inside and outside the function;
- Solid understanding of macroeconomic and market dynamics, strategic analysis, financial and legal structuring concept.
- Identifies, screens and evaluates global corporate development and M&A opportunities;
- Provides overall assessment of potential opportunities (e.g., attractiveness, strategic fit, portfolio review, valuation, due diligence, key issues having a material impact on price and structuring) with the proactive and timely involvement of all relevant company stakeholders and functions;
- Independently develops robust business cases and valuation models and assesses the value creation potential of acquisition, divestiture, alliance proposals, while actively liaising with the business, R&D, production and finance teams;
- Launches and participates in post-merger integration activities, actively managing Due Diligence processes;
- Tracks valuation trends and fundamentals in the sector;
- Reviews outputs of (and coordinate) external advisers and other team members;
- Actively adheres to regulations, corporate governance\/policies, supports implementation of adequate checks and balances during deal execution process;
- Develops presentations for top management;
- Develops and maintains comprehensive project documentation\/ deliverables in quality and form and measures project performance using appropriate systems, tools and techniques;
- Establishes and disseminates best practices for M&A throughout the group.
