Senior Legal Counsel – Private Equity Real Estate

RMG The Risk Management Group (Switzerland) SA ("RMG") is a Geneva based investment advisory firm founded in 2004. We support a select group of Swiss and international clients across wealth management, private equity and real estate investment strategies.

A significant part of RMG's activity involves real-estate transactions and the financing structures behind income-generating assets. Over the years, RMG has developed a strong franchise in sourcing, structuring and executing differentiated opportunitiesin real estate, private debt and other tangible assets.

To strengthen our in-house legal capabilities, RMG is seeking an investment-oriented Senior Legal Counsel with strong expertise in real estate or private equity, covering the full lifecycle of projects— from acquisition and development through operations and exit.

Key Responsibilities :

Reporting directly to the Chief Legal Officer of RMG, the Senior Legal Counsel will play a central role in supporting RMG's private-equity / real-estate activities:

1. Transaction & Investment Structuring

• Advise on the acquisition, structuring and execution of real-estate and private-equity investments.

• Support the set-up of investment vehicles, joint ventures, shareholder arrangements and co-investment structures across multiple jurisdictions.

1. Development, Construction & Asset Lifecycle

Provide legal support throughout the entire lifecycle of real-estate assets, including:

• Pre-development, construction contracting, general contractor agreements and architect/engineer engagements.

• Asset-level commercial arrangements such as leasing, facility management and operating agreements.

• Development of value-creation strategies and support during operational phases.

• Exit planning and divestment of asset or corporate structures.

1. Financing & Capital Structures

Assist with financing transactions, including debt structuring, refinancing and security packages.

1. Contracting & Corporate Documentation

• Draft, review and negotiate a wide range of contracts, including:

o commercial contracts (mandates, NDAs, lease agreements, construction/development contracts, asset-management/advisory agreements);

o corporate documentation (board minutes, shareholder resolutions, governance documents);

1. Regulatory & Compliance Oversight

• Ensure compliance with applicable laws and regulations across relevant jurisdictions.

• Monitor regulatory developments and conduct regular risk assessments.

1. Stakeholder Management

• Work closely with RMG's internal teams, investment partners and financial institutions

• Manage relationships with external counsels in Switzerland and internationally.

1. Internal Legal Framework

• Contribute to the development and continuous improvement of RMG's internal legal processes, templates and governance frameworks.

Profile :

• Circa. 7 years of experience in relevant roles, ideally combining law firm and in-house legal role;

• Strong expertise in private equity, real estate acquisition and operational legal matters;

• Solid understanding of project finance in the context of real estate;

• Fluency in French and English (written and spoken); German is highly desirable;

• Keen to develop RMG's in house function.
