HT&S is a leading international trader and seaborne logistics operator who delivers, through a team of dedicated specialists, solutions for the seaborne import and export of raw materials and finished goods both to Holcim Group companies as well as to third-party businesses.

SUMMARY OF THE JOB

As the Legal Specialist at Holcim Trading, you provide corporate and commercial legal support and contract management to assist the General Counsel of Holcim Trading & Shipping in providing legal services to the Holcim Trading group of companies and the Holcim Group where required.

MAIN ACTIVITIES / RESPONSIBILITIES

Legal Function:

  • Contract Management comprising: review of trading contracts to ensure back to back and consistent with related CP; ensuring administrative follow-up of the contracts both on paper and on the internal system (SAP/Sales Force/Umbrella etc.).
  • Contracts: negotiate, draft and update the spot contracts (sales and purchase agreements) and any Commercial Terms as well as the General Conditions of the Holcim Trading contract template when required; support the traders for special contract drafting and negotiation with clients and assist them in clarifying Holcim Trading's position in situations that could develop into claims (pre-litigations).
  • Update the Umbrella tool to ensure Holcim Trading Group Company records are all up to date on the system and assist in quarterly Legal Reporting requirements.
  • Assist the GC in compliance with all internal controls (MCS).
  • Assist the GC in the preparation of corporate law paperwork for all Holcim Trading Legal Entities (Switzerland, USA and Singapore) and all required filings at local companies registers to include Board, AGM and EGM notices and minutes, resignation and appointment letters and paperwork, authorised signatory registration and notifications, etc.
  • Keep abreast of legal updates related to trading and shipping law which could affect the legal practice and business.
  • Such other reasonable duties as may be required from time to time by the General Counsel.

PROFILE REQUIRED:

Education:
Legal education or equivalent experience; attorney patent is a plus.

Experience:
Min. 2 years of experience including trading / shipping / corporate law activity. Exposure to English law is a key asset.

Knowledge and skills:

  • Strong interpersonal and communication skills that allow effective leadership of the team and facilitate, influence and communicate with other stakeholders and external parties.
  • General agility, sound judgment, and a highly developed legal and commercial sense with a pragmatic and solutions-oriented approach.
  • Self-motivated, structured work approach, conceptual thinking, and strategic reasoning, while being hands-on and not afraid of making decisions.
  • Team player with the highest levels of ethics and integrity.

Languages:
Fluent and articulate English speaker with advanced English drafting and writing skills particularly involving complex legal, commercial, and operational concepts. Other languages (German, French, or Spanish) are advantageous.
