Pour le compte de l’un de nos clients, un acteur majeur dans le commerce international d’énergie, nous recherchons à Genève un/e Legal Counsel.
Vos responsabilités :
- Rédaction, révision et conseil sur une variété de contrats commerciaux de l’entreprise, ainsi que des conditions générales et l’ensemble de la documentation juridique
- Assurer la conformité des activités du Groupe avec les réglementations locales et internationales en matière de commerce, assurance et finance.
- Mettre en œuvre et améliorer le cadre de gouvernance et les obligations réglementaires.
- Effectuer une veille juridique et anticiper les évolutions pouvant impacter les opérations du Groupe.
- Rédiger, analyser et sécuriser les clauses des contrats et des polices d’assurance.
- Identifier, évaluer et gérer les risques de non-conformité (sanctions économiques, corruption, blanchiment d’argent, etc.).
- Suivi du processus de due diligence sur les contreparties (fournisseurs, client) en reprenant notamment les KYC
- Gérer les contentieux et litiges en collaboration avec les avocats et parties prenantes internes et externes.
- Concevoir et dispenser des formations internes sur la conformité et la gestion des risques.
- Mettre en place et assurer le suivi des contrôles internes liés à la conformité réglementaire.
- Assurer la couverture des risques maritimes et infrastructures.
- Superviser les renouvellements des polices et suivre l’évolution du marché de l’assurance.
- Collaborer avec les courtiers et P&I Clubs pour optimiser les solutions d’assurance.
- Gérer les sinistres et assurer un suivi rigoureux des dossiers.
Votre profil :
- Minimum 3 à 5 ans d’expérience dans une société maritime ou de trading.
- Master en droit, brevet d’avocat un atout.
- Connaissances dans les contrats et assurance un plus.
- Solides compétences en négociation, capacité à travailler sur des dossiers complexes et à proposer des solutions innovantes.
- Anglais et français courant (écrit et oral).
