OBJECTIVES OF THE PROGRAMME
Unitaid, a partnership hosted by the World Health Organization is focused on accelerating the introduction and adoption of key health products primarily for HIV & co-infections, tuberculosis, malaria and women & children's health.
It designs and invests in innovative approaches to make quality health products available and affordable in low and middle-income countries.
It promotes collective efforts with partners, countries and communities, unlocking access to the tools, services and care than can deliver the best results, improve health and address global health priorities.
DESCRIPTION OF DUTIES
In particular, the responsibilities of the Legal and Institutional Affairs Officer shall include:
- Providing highquality legal services in relation to grant arrangements/ agreements and other contractual matters, product development and equitable access commitments, IP licensing, patent and technology transfer arrangements and confidentiality arrangements
- Providing expert advice on issues of international administrative law, including a human resource and internal justice matters linked to Unitaid's operations
- As a member of Unitaid's Ethics Team, leading and supporting initiatives to reinforce ethical standards and maintain Unitaid's integrity and reputation, both with respect to Unitaidfunded investments and within the Unitaid Secretariat, including providing advice on compliance with relevant WHO ethical policies, as well as WHO's Framework on Engagement with Non-State Actors (FENSA)
- Ensuring the application of a clear framework for the management of potential conflicts of interest across all levels of Unitaid's activities, including the Unitaid Board and its Committees
- Preparing or revising guidance, policies and declaration forms as necessary, together with presentations and other training materials for Unitaid staff, Committee and Board Members
- Supporting all aspects of Unitaid's internal and external safeguarding work, including through the management of incident reports received from Unitaid implementers
- Supporting good Board governance, including by preparing and advising on Unitaid Board decisions and other governance instruments, and supporting Unitaid's Board Governance Working Group (GWG)
- Preparing GWG meeting materials, presentations and meeting records as necessary, and revising and preparing formal governance documentation including policies, guidelines and operating procedures
- Supporting Unitaid's donor relations initiatives, institutional partnerships and engagements, including through the drafting and/or review of relevant agreements
- Other duties involving ethical, governance or legal issues as required by the Senior Legal Officer, including acting as Officer in Charge in the absence of the Senior Legal Officer on request
REQUIRED QUALIFICATIONS
#### Education
Essential:
- An advanced level university degree in law.
Desirable:
- Professional legal qualification, such as having passed a national bar exam, ethics qualification or certification.

- At least 7 years' progressive professional experience practicing law in a law firm, corporate legal department or international organization.
- Experience dealing with complex ethical, governance and legal issues, including with respect to international administrative law and organizational governance.
- Demonstrated experience negotiating and preparing complex, highquality contracts.
- Demonstrated experience preparing wellwritten and persuasive legal analysis and advice on human resources and internal justice matters.
Desirable:
- Experience practicing law in an international organization in a UN common system, or in more than one national legal jurisdiction.
- Experience dealing with matters of international administrative law.
- Ability to negotiate and draft clear legal agreements in English, including contracts
- Ability to present authoritative and wellreasoned opinions with respect to complex ethical, governance and legal matters

REMUNERATION
WHO salaries for staff in the Professional category are calculated in US dollars.
The remuneration for the above position comprises an annual base salary starting at USD 77,326 (subject to mandatory deductions for pension contributions and health insurance, as applicable), a variable post adjustment, which reflects the cost of living in a particular duty station, and currently amounts to USD 5703 per month for the duty station indicated above.
Other benefits include 30 days of annual leave, allowances for dependent family members, home leave, and an education grant for dependent children.
