Our client is an industry leader in energy infrastructure and operations. We are recruiting a Corporate Legal Counsel for a position based in Switzerland.
About the role:
- Lead and implement global incorporations, mergers, restructuring, and liquidations.
- Manage corporate secretarial duties, including drafting, maintaining, and archiving records for legal entities worldwide. Assist with KYC/DD and corporate legal requests.
- Draft, review, and negotiate legal documents such as intercompany agreements, resolutions, minutes, and contracts.
- Oversee outsourcing partners for corporate filings and updates. Collaborate with internal teams and external partners on legal matters.
- Identify, assess, and mitigate legal risks, developing strategies with the Head of Corporate Governance.
- Ensure compliance with laws and regulations in Switzerland and other jurisdictions. Monitor changes and conduct regular risk assessments.
- Prepare and oversee Powers of Attorney, ensuring board member protection.
- Contribute to the development of a document/legal entity management system with AI features. Maintain document management and corporate files.
- Prepare Board Books and legal documentation for Swiss entity Board Meetings.
About you:
- 3-6 years of experience as a corporate lawyer specializing in Swiss Company Law.
- Fluent in written and spoken English; proficiency in French is a plus.
- Located in Switzerland with a valid Swiss work permit.
- Previous work experience at a global corporate service provider.
- Excellent interpersonal skills.
